About these Terms
The website https://prepatent.org (the “site”) is operated under the name PrePatent PrePartnering Wisdom by its owner, an individual who is a Canadian citizen now living in Israel (“we”, “us”, “our”). “You” means any person who visits or uses the site, or who buys a service or product from us.
These Terms work together with our Privacy Policy, Cookie Policy, Disclaimer and Refund & Cancellation Policy. If you buy a consulting service, any written proposal or engagement terms we agree with you for that service will also apply, and will take priority over these Terms where they conflict.
Eligibility
You may read the site’s public content regardless of where you are located. To create an account, place an order or book a consultation, you must:
- be at least 18 years old, or the age of majority where you live if that is higher;
- be able to enter into a binding contract under the law that applies to you; and
- if you act for a company or other organization, have the authority to bind it to these Terms.
We may refuse service, cancel orders or close accounts where we reasonably believe these requirements are not met, or where providing the service would break the law.
What we offer
The site provides three kinds of offerings:
- Educational content. Articles, guides, a glossary, a patent history timeline, interactive tools such as the invention readiness check, and other free resources about patent strategy, pre-partnering and commercialization. This content is general and educational.
- Consulting services. Paid consultations and written assessments about business strategy for inventions, such as preparing to approach a suitable major partner. The scope of each service is described on the services page, in the product listing in our shop, or in a written proposal.
- Digital products. Downloadable materials such as guides, templates or worksheets sold through the shop.
Our consulting services are business and strategy guidance based on the owner’s experience as a businessman and inventor. They are not legal services, patent prosecution services, financial advice or investment advice. We do not file patent applications, give opinions on patentability, validity or infringement, or act as a broker, agent or investment adviser.
We may change, suspend or discontinue any part of the site or any offering at any time. Changes will not affect orders already accepted, unless we agree otherwise with you or give you a refund.
No attorney-client relationship
Nothing on this site, and no communication with us, creates an attorney-client, patent agent-client or any other professional fiduciary relationship. We are not a law firm, and the site owner does not act as your lawyer or registered patent attorney or agent.
Patent rights depend on deadlines and formal requirements that differ between countries. Before you make decisions about filing, publishing, disclosing or licensing an invention, consult a registered patent attorney or patent agent in the relevant jurisdiction. Official information is available from patent offices such as the USPTO, CIPO, the EPO and WIPO.
Your obligations
When you use the site, you agree to:
- give accurate, current and complete information when you contact us, create an account or place an order;
- keep your account password confidential and tell us promptly about any unauthorized use of your account;
- use the site only for lawful purposes and in line with these Terms;
- respect the intellectual property and privacy of others.
You must not:
- attempt to gain unauthorized access to the site, its servers, databases or accounts, or bypass its security features;
- upload or send malware, spam, or content that is unlawful, defamatory, harassing, obscene or infringing;
- scrape, harvest or copy the site’s content in bulk, or use automated tools in a way that burdens the site, except for ordinary search engine indexing;
- resell, redistribute or publicly share paid digital products or consulting deliverables except as allowed in these Terms;
- impersonate any person or misrepresent your affiliation with any person or organization; or
- use the site to infringe anyone’s patents, copyrights, trademarks or trade secrets.
Our security tools may automatically block traffic that appears malicious. We may suspend or terminate access for anyone who breaches these Terms.
Submissions and confidentiality
Do not send confidential invention details through the public contact form, comments or ordinary email before a non-disclosure agreement (NDA) has been agreed. Public disclosure of an invention before filing may affect your ability to obtain patent protection in many countries.
Our contact form and email are suitable for first contact: describe your situation in general terms, such as your industry, your stage of development and the kind of help you need. If a discussion needs to go into confidential technical details, we will first agree on an appropriate NDA or confidentiality terms in writing.
Unless and until a written confidentiality agreement is in place:
- information you send us is not treated as confidential, although we will handle personal data as described in our Privacy Policy;
- we are under no obligation to keep unsolicited ideas or proposals secret, or to compensate you for them; and
- sending an idea to us does not create any partnership, joint venture, license or other relationship.
Comments and other content you publish on the site are public. You keep ownership of what you submit, but you give us a non-exclusive, royalty-free, worldwide license to display, store, moderate and remove it in connection with operating the site. You confirm that you have the right to submit it. For general guidance on early-stage protection, see our article on protecting your idea before the patent.
Orders, pricing and payment
Placing an order
Product and service descriptions in the shop are an invitation to order, not a binding offer. Your order is an offer to buy. A contract is formed when we confirm acceptance, which normally happens when we send an order confirmation email or, for digital products, when we make the download available. We may decline an order, for example if a service is unavailable or a price was shown in error. If we decline after you have paid, we will refund you in full.
Prices and taxes
Prices are shown in the currency displayed at checkout. Applicable taxes, such as VAT or sales tax, are calculated or shown at checkout where required. You are responsible for any bank, currency conversion or other charges imposed by your own payment provider. We may change prices at any time, but changes do not affect orders already accepted.
Payment
Payments are processed by the third-party payment gateways shown at checkout. We do not store full card numbers. By paying, you confirm that you are authorized to use the payment method. Your use of a payment gateway may also be governed by its own terms. Consulting services are normally paid in advance unless a written proposal says otherwise.
Errors
If we discover an obvious error in pricing or product information after you order, we will contact you and give you the option to continue at the correct price or cancel for a full refund.
Digital products license
When you buy a digital product, we grant you a personal, non-exclusive, non-transferable, revocable license to download and use it for your own personal or internal business purposes. Unless the product page expressly says otherwise, you may:
- download, store and print copies for your own use;
- use templates and worksheets to prepare your own documents; and
- share it within your own small team working on the same project.
You may not:
- resell, sublicense, publish or distribute the product or substantial parts of it;
- post it on public websites, file-sharing services or shared drives open to others;
- remove copyright or attribution notices; or
- present the product, or derivatives of it, as your own work for sale.
Download links may expire or be limited to a number of downloads. Please save your files after purchase. If a link stops working, contact us and we will help where we reasonably can. We may terminate the license if you breach these Terms.
Consultations: scheduling and cancellations
Consultations are held by phone or online meeting. Because the owner lives in Israel, we will agree a time that works across time zones, and we will confirm the date, time, time zone and meeting method by email. Calls and online meetings are arranged only after first contact by email or the contact form.
- Preparation. You agree to provide, in good time, the non-confidential background information we ask for. Confidential details should only be shared once confidentiality terms are agreed.
- Cancelling or rescheduling 48 hours or more in advance. You may reschedule, or cancel for a full refund.
- Cancelling or rescheduling less than 48 hours in advance. You may reschedule once, as described in our Refund & Cancellation Policy.
- Late arrival. If you join late, the session may end at the scheduled time.
- If we need to reschedule. If we must cancel or move a session, we will offer a new time or a full refund, at your choice.
Consulting deliverables, such as written assessments, are prepared for your own use. You may use them within your organization and share them with your professional advisers, but you may not publish or resell them.
Recording of consultations requires the agreement of both parties in advance.
Refunds
Refunds and cancellations for consultations, written assessments and digital downloads are covered by our Refund & Cancellation Policy, which forms part of these Terms. Nothing in these Terms or that policy limits any mandatory rights you have under consumer protection law where you live.
Intellectual property of the site
Unless otherwise stated, the content of the site, including text, articles, tools, layout, graphics, and the name and branding PrePatent PrePartnering Wisdom, is owned by or licensed to the site owner and is protected by copyright and other intellectual property laws.
You may read the site, print or save individual pages for your personal, non-commercial use, and quote short excerpts with a link back to the source page. Any other copying, republishing or commercial use requires our prior written permission.
Some images on the site come from Wikimedia Commons and other sources and are used under their own licenses. Those licenses, not these Terms, govern your reuse of those images. Attributions are listed on our image credits page. If you believe content on the site infringes your copyright, please follow our DMCA / Copyright Policy.
Third-party links and services
The site links to external websites, including government patent offices, reference sources, related sites, and the website of our sponsoring corporation, Superior Hulls Inc. We provide these links for convenience and information. We do not control external websites and are not responsible for their content, availability, accuracy or privacy practices. A link does not mean we endorse everything on the linked site.
Third-party services used in the operation of the site, such as payment gateways, are provided under their own terms.
Disclaimers
The site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness or non-infringement.
In particular:
- content is general and educational and is not legal, financial, investment or tax advice;
- we try to keep information accurate and up to date, but laws, fees and patent office procedures change, and we do not guarantee that content is current;
- opinions about institutions, laws and companies are the site’s perspective and analysis;
- we do not guarantee any result, including obtaining a patent, finding a partner, attracting investment or achieving commercial success; and
- we do not guarantee that the site will be uninterrupted, secure or free of errors.
Please also read our full Disclaimer. Where you are a consumer, these disclaimers do not affect your statutory rights, such as rights that services be performed with reasonable care and skill.
Limitation of liability
To the fullest extent permitted by applicable law:
- we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunity, data, goodwill or intellectual property rights, arising from your use of the site, its content or our services, even if we were told such loss was possible;
- we are not liable for decisions you make, or actions you take or do not take, based on the site’s content; and
- our total liability for any claim relating to a paid service or product is limited to the amount you paid us for that service or product in the 12 months before the claim arose. For free content and tools, our total liability is limited to the extent the law permits.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud, gross negligence or wilful misconduct, or for death or personal injury caused by negligence, or your mandatory rights as a consumer.
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless the site owner from claims, losses, liabilities and reasonable costs (including reasonable legal fees) brought by third parties that arise from your breach of these Terms, your misuse of the site, or content you submit that infringes someone else’s rights or breaks the law. This section does not apply where the claim is caused by our own fault, and it does not limit your mandatory rights as a consumer.
Governing law and disputes
We would much rather solve a problem than argue about it. If you have a concern or complaint, please email [email protected] first and describe the issue. We will try in good faith to resolve it amicably, normally within 30 days.
These Terms, and any dispute arising from them or from your use of the site, are governed by the laws of the jurisdiction in which the site owner resides, without regard to conflict-of-law rules, unless mandatory consumer law of your country provides otherwise. If you are a consumer, you keep the protection of the mandatory provisions of the law of your country of residence and may be able to bring proceedings in your local courts.
Consumers in the EU may also be able to use alternative dispute resolution bodies available in their country.
Changes to these Terms
We may update these Terms from time to time, for example when we change our offerings or when the law changes. The updated Terms will be posted on this page with a new effective date. Changes apply from that date and do not affect orders accepted before it. If you continue to use the site after changes take effect, you accept the updated Terms.
General provisions
- Entire agreement. These Terms, the policies referred to in them and any written engagement terms for a specific service form the entire agreement between you and us about their subject matter.
- Severability. If any provision is found invalid or unenforceable, the rest remains in effect, and the invalid provision will be applied to the greatest extent permitted.
- No waiver. If we do not enforce a provision right away, we have not given up our right to enforce it later.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours, for example if the site changes ownership, without reducing your rights.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as network outages, hosting failures or other emergencies. We will reschedule affected services or offer a refund.
- Language. These Terms are written in English. Any translation is for convenience only.
